1. Acceptance of Terms

By accessing our website, submitting an enquiry, purchasing a service, creating an account, accepting a proposal, or using any Shanil service, you agree to these Terms. If you do not agree, please do not use our website or services.

2. Our Services

Shanil may provide website development, web applications, mobile app development, digital marketing, search engine optimisation, social media services, paid advertising, branding, graphic design, AI solutions, automation, lead management, analytics, hosting coordination, and related digital services.

The exact scope, pricing, timelines, deliverables, and support terms for paid services will be defined in a quotation, proposal, work order, service agreement, invoice, or written communication.

3. Client Responsibilities

Clients agree to:

• Provide accurate, complete, and timely information, content, approvals, and access required for the project.
• Ensure that supplied content, images, logos, data, trademarks, and materials are lawful and do not infringe third-party rights.
• Maintain the security of account credentials and connected third-party platform access.
• Review and approve deliverables, creatives, content, campaigns, and website changes within agreed timelines.
• Comply with applicable laws, advertising policies, platform rules, and industry regulations.

4. Fees and Payments

Fees, taxes, payment schedules, and applicable renewal charges will be mentioned in the relevant proposal, invoice, or agreement. Unless otherwise agreed in writing, payments made for completed work, subscriptions, setup, consultation, advertising management, or digital services are non-refundable.

Delayed payments may result in suspension of services, withholding of deliverables, late fees where applicable, or termination of the project. Third-party costs such as ad spend, domain charges, hosting charges, platform subscriptions, payment gateway fees, and software fees are separate unless explicitly included in writing.

5. Advertising and Marketing Services

Shanil may manage campaigns on search engines, social media networks, messaging platforms, and other advertising channels. We do not guarantee a specific number of leads, sales, rankings, impressions, approvals, revenue, or return on advertising spend.

Platform decisions, policy approvals, account suspensions, ad rejections, auction costs, algorithm changes, and third-party outages are outside Shanil’s direct control.

6. Intellectual Property

Unless otherwise agreed in writing, Shanil retains ownership of its pre-existing tools, frameworks, source code libraries, templates, methodologies, processes, AI workflows, designs, and proprietary technology.

Upon full payment of all applicable fees, the client receives rights to use the final approved deliverables for their business purpose, subject to any third-party licence restrictions. Shanil may display completed work in its portfolio, case studies, social media, and promotional materials unless otherwise agreed in writing.

7. Third-Party Services

Our services may integrate with third-party providers, including hosting companies, domain registrars, payment gateways, analytics tools, advertising platforms, social networks, AI providers, and communication services. Your use of those services may be subject to their own terms and policies. Shanil is not responsible for their availability, changes, pricing, data practices, or service failures.

8. Confidentiality

Both parties agree to protect confidential business, technical, commercial, customer, and project information received from the other party, except where disclosure is required by law or necessary to deliver the agreed services.

9. Prohibited Use

You may not use Shanil services to:

• Violate laws, regulations, intellectual property rights, or third-party rights.
• Send spam, misleading communications, fraudulent content, or unlawful advertisements.
• Distribute malware, harmful code, or attempt unauthorised access to systems or accounts.
• Upload or promote content that is defamatory, abusive, deceptive, obscene, or otherwise unlawful.
• Use our services for activities that may damage Shanil, its users, clients, partners, or platforms.

10. Disclaimer of Warranties

Shanil provides services on an “as is” and “as available” basis unless otherwise stated in a written agreement. While we aim to provide reliable and high-quality services, we do not guarantee uninterrupted, error-free, secure, or completely accurate services, websites, platforms, tools, campaigns, or results.

11. Limitation of Liability

To the maximum extent permitted by law, Shanil Technologies Private Limited will not be liable for indirect, incidental, special, consequential, punitive, or business losses, including loss of profit, data, reputation, revenue, leads, or opportunities arising from use of our website or services.

Our total liability for any claim relating to a specific paid service will not exceed the amount paid by the client to Shanil for that service during the three months immediately preceding the event giving rise to the claim.

12. Suspension and Termination

Shanil may suspend or terminate access to services if payments are overdue, if these Terms are breached, if required by law, or if we reasonably believe continued use may create risk to Shanil, clients, users, or third parties.

13. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Any disputes arising from these Terms or Shanil services shall be subject to the jurisdiction of the courts in Mumbai, Maharashtra, India.

14. Changes to These Terms

We may revise these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of our website or services after the update means you accept the revised Terms.
